Ownership/Terms

This is a private villa estate based upon a leasehold land sub-division, leases are for 30 years with 2 prepaid 30 year extensions.

In order to further protect the tenants (lessees), all of the tenants of participate in a BVI company offshore company which holds shares in the Thai company which owns the freehold land through its ownership of a Development Corporation Limited. This carefully structured arrangement gives the tenants substantial rights under Thai law preventing the landlord company (ultimately controlled in any event by the homebuyers) from acting against their interests at the time of renewal of leases. It also permits conversion of leases to freehold, in the event Thailand enacts future legislation to this effect.

The Lessee separately contracts to build a villa on its leasehold land. The Lessee will own this building. If the Lessee is a Special Purpose Company (SPC) established in (for example) the BVI to own the shares the Lessee can effect a transfer of the shares, the land lease and villa by transferring the shares in the SPC with no change in ownership of the property and therefore no need for re registration of the Lease under Thai law.
